✦ MIKHAIL COMMERCIAL LICENSE AGREEMENT ✦

One-time payment. This license is required to sell any music and/or media produced using Mikhail and the UTAU voicebanks that correspond. You agree to the terms set in this agreement when purchasing this license. Please include the name(s) for which you will be using these voicebanks during purchase. If you are to create content under a different name, please contact me to update your information. Make sure to save the purchase email for your records.

❖ 1. LICENSE GRANT

Upon purchase of a Commercial License through Ko-fi, the creator EnjouAkuma / 炎上悪魔 grants the buyer (hereinafter referred to as the Licensee) a permanent, non-exclusive, non-transferable, worldwide license to use the Mikhail voicebanks for authorized commercial purposes.

This includes, but is not limited to:

• Digital and physical music sales (albums, singles, EPs, etc.)
• Monetized videos and streams (YouTube, Twitch, etc.)
• Use in paid games, films, animations, or similar media
• Other forms of commercialized creative production featuring Mikhail's voice

This license applies to all current and future official Mikhail voicebanks (Japanese, English, AI, and all updates thereof).

❖ 2. FINANCIAL TERMS AND ROYALTY AGREEMENT

By obtaining this license, the Licensee agrees to the following financial terms:

• The Licensee must remit 50% of all net profits generated through any commercial use of Mikhail's voicebanks to the creator, EnjouAkuma.
• "Net profits" are defined as the total revenue earned from the licensed works minus direct platform fees (e.g., streaming cuts, store processing fees).
• Royalty payments shall be made quarterly (every 3 months) or upon the completion of each major release cycle, whichever comes first.
• Payments are to be made directly to EnjouAkuma via Ko-fi or other agreed-upon means.

Failure to provide royalties within a reasonable timeframe (30 days after notice) will result in revocation of the commercial license and potential DMCA enforcement.

❖ 3. USAGE TERMS; Voicebanks

• License covers all versions of Mikhail voicebanks, including VCV, CVVC, VCCV, CVC, CV, and AI variants.
• Alteration and redistribution of raw .wav files are strictly forbidden.
• Non-commercial modification and sharing of oto.ini or frequency map files (FRQ, SPEF, etc.) are allowed.
• Redistribution of any modified or raw data for sale or public sharing is not permitted.

❖ 4. CHARACTER, IMAGERY, AND ATTRIBUTION

• Attribution is mandatory. The Licensee must credit "Mikhail (ミカイル) – Voice by EnjouAkuma / 炎上悪魔" in all published or released works, regardless of platform or format.
• The use of Mikhail's name for credit or promotional purposes is allowed and encouraged.
• Commercial use of official or fan-made Mikhail artwork is not permitted without explicit permission from the respective artist(s).
• Licensees may use commissioned or self-made artwork of Mikhail for commercial media (album covers, promotional art, etc.), provided they hold the rights to that artwork.

❖ 5. NON-PERMITTED USE

The following uses are strictly prohibited:

• Obscene, defamatory, or unlawful content.
• Use for spreading political or religious propaganda.
• Any AI voice-model training, cloning, or redistribution of Mikhail's voice data.
• Any reselling, sublicensing, or claim of ownership over the voicebank or character.
• Romanticizing or depicting Mikhail in romantic or sexual relationships with female UTAU characters or OCs is strictly prohibited. Mikhail is canonically homosexual, and any content depicting him with female characters in a romantic or sexual context will be classified as homophobia and straight-washing. Such content violates this license agreement and is subject to immediate takedown and potential legal action.

Violation of these clauses will void the license immediately and may result in legal action.

❖ 6. LIABILITY & DISCLAIMER

EnjouAkuma assumes no responsibility for any incident, data loss, damage, or dispute resulting from the Licensee's use of Mikhail's voicebanks. The Licensee is solely responsible for ensuring proper crediting, compliance with royalty terms, and safe usage of the licensed materials.

❖ 7. COMMERCIALIZED STORY MEDIA

(Doujin, Manhwa, Donghua, Manga, Webtoon, etc.)

• The use of Mikhail (ミカイル) and his likeness, name, or persona within story-driven commercial media such as Doujinshi, Manhwa, Donghua, Manga, Webtoon, Comics, or similar visual storytelling projects is subject to explicit approval by EnjouAkuma prior to publication.
• Fan-created Doujin works (non-profit, limited-run, or promotional) are acceptable without prior approval, provided they clearly credit Mikhail and are not mass-produced or for consistent financial gain.
• Commercialized narrative works—including paid webseries, animated shorts, serialized comics, or published graphic novels—require a valid commercial license and are subject to the same 50% net profit royalty terms outlined in Section 2.
• Licensees must not depict Mikhail or his likeness in defamatory, hateful, or excessively exploitative contexts. Mature themes are allowed, but must not distort the integrity of the character or misrepresent EnjouAkuma's intellectual property.
• Redistribution or adaptation of Mikhail into other story franchises without consent is strictly forbidden.
